Qualcomm Buys Modular for ~$3.9B to Crack Nvidia's CUDA Software Moat

Qualcomm has agreed to acquire Modular, the AI infrastructure startup founded by compiler veteran Chris Lattner, in an all-stock deal worth roughly $3.9 billion. Qualcomm will issue up to 19.2 million shares to Modular’s holders, and the transaction is slated to close in the second half of 2026 pending regulatory and shareholder approval. The company’s full team of about 150 — including co-founders Lattner (creator of LLVM and Apple’s Swift, and a former Tesla Autopilot lead) and Tim Davis — is expected to join Qualcomm.

Modular builds the Mojo programming language and the MAX platform, a software layer that lets AI models run efficiently across heterogeneous hardware from Nvidia, AMD, Intel and others. That hardware-agnostic runtime is the strategic prize: it gives Qualcomm a credible alternative to Nvidia’s CUDA, the proprietary software stack that has locked developers into Nvidia GPUs and become the company’s deepest competitive advantage.

The deal signals Qualcomm’s intent to push well beyond its smartphone-and-edge roots into data-center AI, where it has historically been a minor player. Owning a portable inference and development stack lets Qualcomm court AI developers on software rather than competing on silicon alone — and positions it to make its own AI accelerators more attractive by lowering the cost of moving workloads off Nvidia hardware.
